Capital B, Europe’s first dedicated Bitcoin Treasury Company, has secured shareholder approval for financing measures totalling up to €105 billion, one of the largest authorizations for a corporate Bitcoin accumulation strategy.
Investors approved up to €5 billion in equity issuance and €100 billion in debt instruments, and endorsed the company’s rebranding from The Blockchain Group to Capital B. These approvals give the company flexibility to expand its Bitcoin holdings from 3,139 BTC today to 15,000 BTC by 2027 and 210,000 BTC by 2033.
The resolutions received strong support at the June 17 annual general meeting, with over 95% of votes backing each proposal. Shareholders representing about 164.5 million voting rights, nearly 55% of total voting power, participated.
The €5 billion equity authorization allows the company to issue up to 125 billion new shares at a €0.04 par value. Combined with €100 billion in debt capacity, this structure gives Capital B significant flexibility to raise capital for future Bitcoin purchases.
The company currently holds 3,139 BTC. Management aims to accumulate 15,000 BTC by the end of 2027 and ultimately acquire about 1% of Bitcoin’s total supply, or roughly 210,000 BTC, by 2033.
Capital B has begun executing its strategy, raising €1.1 million last month through a warrant issuance backed by Blockstream CEO Adam Back.
The company’s approach mirrors strategies used by firms such as Strategy in the United States, the largest corporate Bitcoin holder with over 846,000 BTC. As more public companies adopt Bitcoin treasury strategies, Capital B is positioning itself as Europe’s leading participant.
