Hyperliquid Strategies Inc., a Nasdaq-listed HYPE treasury company, has expanded its committed equity purchase facility with Chardan Capital Markets from $1 billion to $2.5 billion. The amendment, signed on September 1, 2026, gives the company greater potential access to equity capital as it continues to build its HYPE treasury. Trading under the ticker PURR, the company focuses on accumulating Hyperliquid’s native HYPE token for the benefit of its stockholders.
Under the amended agreement, Hyperliquid Strategies can sell newly issued common stock to Chardan from time to time. However, the company is not required to sell shares, and the $2.5 billion commitment does not mean that the company will automatically raise that amount.

The original Chardan equity purchase agreement was signed on October 22, 2025, with a total commitment of up to $1 billion. The September amendment raises that potential commitment to $2.5 billion, subject to the terms and limitations of the agreement.
There is also an exchange-cap condition that becomes important after the first $1 billion of shares has been sold through the facility. Additional shares priced below $12.02 per share generally cannot exceed 42,641,847 shares, equal to 19.99% of the company’s outstanding common stock immediately before the amendment. The limit can be exceeded if Nasdaq rules allow it or shareholders approve the additional issuance.
The company has previously said that proceeds from share sales could be used for general corporate purposes, including potential purchases of HYPE tokens. The latest filing, however, does not specify how much of the expanded facility will be used or when the company might draw on it.

Company filings provide some context for the expansion. Hyperliquid Strategies said in an August 19 filing that it had increased its treasury from an initial 12.5 million HYPE tokens to about 29.3 million tokens.
As of June 30, the company reported total assets of about $2.06 billion. This included $149.9 million in cash and cash-like assets and around $1.9 billion worth of HYPE tokens, based on a reported value of $65.04 per token.
The company also said it had deployed about $773.4 million to acquire roughly 16.5 million HYPE tokens at an average cost of $46.77. During the fiscal year ended June 30, it raised about $647 million through PURR share issuance.
Hyperliquid Strategies describes itself as a digital asset treasury company seeking capital-efficient exposure to HYPE through accumulation, staking and ecosystem participation.
The enlarged equity facility therefore gives the company additional flexibility to access capital as market conditions and its treasury strategy evolve. Whether the company uses the full facility, and how much of the proceeds eventually goes toward HYPE purchases, will depend on future share sales, market conditions and the applicable Nasdaq requirements.
