Circle, the issuer of the USDC stablecoin, has agreed to acquire Singapore-based cross-border payments company Tazapay for $400 million in stock. The deal is one of Circle’s largest publicly disclosed acquisitions and is aimed at strengthening its global payments infrastructure.
Tazapay connects businesses and financial institutions with more than 60 banking and fintech partners, helping them collect and pay out money through local payment networks in more than 100 markets. Circle said Tazapay processes over $25 billion in annualised payment volume, with around 60% of transactions already involving stablecoins.

Tazapay brings a payments-native team, 60+ banking and fintech partners, and meaningful stablecoin payment volume, with more than 60% of its volume…

Under the agreement, Circle will issue shares to Tazapay’s owners. The number of shares will be calculated using Circle’s volume-weighted average closing price over the 20 trading days before the transaction closes. The final value will also be adjusted for Tazapay’s debt, transaction expenses and cash.
Tazapay provides the kind of infrastructure that Circle needs as it looks to expand the real-world use of stablecoins. While stablecoins can move quickly across blockchains, converting them into local currencies often requires local bank accounts, regulated payment companies and connections to domestic payment systems.
Instead of creating distinct networks in each nation, Circle may access a large portion of this last-mile infrastructure by purchasing Tazapay. The two businesses already collaborate with one another. Since 2025, Tazapay has contributed to the development of the Circle Payments Network.

Tazapay has more than 1,000 corporate and fintech customers and operates across 30 countries. Additionally, for three years straight, the company’s revenue has doubled. While applications are pending in the European Union, Hong Kong, and the United Arab Emirates, it currently has licenses or registrations in Singapore, Canada, Australia, and the United States.
The acquisition is part of a broader expansion strategy by Circle. The company has made several acquisitions in recent years, including tokenised money-market fund provider Hashnote and Web3 infrastructure company Cybavo. It has also acquired payments software company Elements and blockchain consensus technology Malachite.
The Tazapay transaction is expected to close in 2027, subject to regulatory approvals, including approval from the Monetary Authority of Singapore. Until the deal is completed, Tazapay’s services, pricing and customer support are expected to continue as usual.
