tZERO Group Inc., a financial technology company that focuses on securities infrastructure, is planning to go public by entering a business combination with FG Imperii Acquisition Corp. (Nasdaq: FGII). The deal values the company at 350 million dollars before the transaction takes place.
A defining moment for @tZERO.
We’ve announced a proposed transaction with FG Imperii Acquisition Corp. (Nasdaq: FGII) to become a publicly traded company. tZERO is the original innovator in tokenization infrastructure. With our reset and refocus of the company over the last year, we’ve been building the regulated technology, infrastructure and market connectivity to power a tokenized financial system. Today, that vision takes a significant step forward.
“We have talked about the next phase of tZERO’s evolution requiring a more independent footprint. This transaction delivers that objective, unlocks growth paths and strengthens our ability to scale market infrastructure required for an increasingly tokenized financial system,” said @Alan_Konevsky, Chief Executive Officer of tZERO.
Expected ticker: TZRO. As previously mentioned, tZERO will also explore pathways for onchain trading, custody and utility utilization alongside its exchange listing.

The merger was announced on November 2, 2026. The proposed merger could give the combined company up to 231 million dollars in cash from FG Imperii’s trust account. This amount is before transaction expenses. It is subject to shareholder redemptions. The companies hope to complete the deal in 2027. The combined company is expected to trade on NYSE American with the ticker symbol TZRO.
The valuation includes up to 25 million dollars that depends on the achievement of milestones. Current tZERO shareholders are expected to transfer 100% of their equity stakes into the company.
tZERO Seeks Capital To Expand Tokenized Securities Infrastructure
Founded around blockchain-based securities markets, tZERO provides regulated infrastructure for issuing, trading, settling, and holding tokenized assets. Its operations include an SEC-registered, FINRA-member broker-dealer, an alternative trading system, transfer agent services, and brokerage, custody, and settlement capabilities.
The company also operates through a CFTC-registered introducing broker and derivatives clearing organization, while its application for designated contract market status remains pending.
tZERO expects to use the transaction proceeds to strengthen its balance sheet, expand its technology and regulated infrastructure, develop new products and partnerships, and support commercial growth.
The company has also agreed to a forward purchase arrangement with FG Merchant Partners LP covering up to 2.5 million shares, subject to definitive documentation.
Institutional Tokenization Interest Supports Growth Ambitions
The proposed listing comes as financial institutions look into blockchain-based securities, including stocks, bonds, and investment funds. Intercontinental Exchange, or ICE, the parent company of the New York Stock Exchange, is an investor in tZERO. It has also chosen tZERO as a design partner for its blockchain-based securities trading platform.
The company is not without challenges. TZERO faces competition and issues around property. The company and rival tokenization firm Securitize have been in a dispute over patent claims. This highlights the questions that surround digital securities infrastructure.
