  • The SEC announced fiscal 2027 examination priorities on October 23, including tokenization for the first time alongside Treasury clearing reforms.
  • The priorities cover more than 34,000 registrants but do not create new tokenization rules.
  • Earlier in 2026, the SEC approved tokenized securities trading on Nasdaq and granted qualifying venues a five-year Innovation Exemption.
  • SEC Chairman Paul Atkins confirmed tokenization rulemaking will continue after Congress failed to pass a crypto market-structure statute.

The U.S. Securities and Exchange Commission disclosed its examination priorities for fiscal year 2027 on October 23. This is the first time the SEC has included tokenization in its official watchlist.

While there are no new rules outlined in the list of priorities, it sets out the areas in which the SEC will focus on conducting risk-based exams on more than 34,000 registrants across the investment adviser, broker-dealer and other sectors.

2027 Exam Priorities

Alongside tokenization, fiscal 2027 priorities include investment advisers, fiduciary duties, retail investor protection covering complex or illiquid products, private funds and private credit, broker- dealer financial responsibility, anti-money laundering compliance, cybersecurity and operational resilience, and emerging technologies affecting markets and fraud prevention. Division of Examinations Director Keith Cassidy outlined the priorities in public remarks, available on the SEC YouTube channel.

Tokenization Policy Milestones In 2026

In March 2026, the SEC approved a Nasdaq rule change permitting securities to be traded in tokenized form. On September 17, qualifying tokenized securities venues received a five-year conditional exemption from certain Exchange Act requirements, the so-called Innovation Exemption.

Commissioner Hester Peirce described the exemption as a bridge to longer-term rulemaking in a September 24 speech. Chairman Paul Atkins confirmed in September that tokenization rulemaking would continue despite Congress’s failure to pass a crypto market-structure statute.

Crypto Task Force Meetings

The SEC’s Crypto Task Force, led by chief counsel Taylor Lindman, has held meetings with industry participants including Franklin Templeton. Topics covered include whether tokenized ETFs and money market funds require additional relief under the Investment Company Act of 1940 to operate under the Innovation Exemption.
