Grayscale has filed an S-1 registration statement with the US Securities and Exchange Commission (SEC) to launch what could become the first US exchange-traded fund (ETF) linked to Worldcoin’s WLD token.

The proposed Grayscale Worldcoin ETF is expected to trade on the Nasdaq under the ticker GWLD, offering investors regulated exposure to Worldcoin without directly holding the cryptocurrency.

If approved, the ETF would further expand Grayscale’s growing portfolio of crypto investment products and mark another milestone in bringing emerging digital assets into traditional financial markets.

According to the preliminary prospectus, BitGo Bank & Trust will serve as the custodian for the ETF’s Worldcoin holdings, while BNY Mellon has been appointed as administrator and transfer agent. CSC Delaware Trust Company will act as trustee for the proposed fund.

The filing does not yet reveal several key details that investors typically look for, including the management fee, seed capital, authorised participants or liquidity providers. These details are expected to be disclosed in future amendments as the SEC reviews the application.

Worldcoin’s native token, WLD, is an ERC-20 token built on the Ethereum blockchain. It powers the World project, which aims to distinguish humans from bots using biometric verification technology.

The initiative was co-founded by OpenAI CEO Sam Altman and has attracted significant attention for its digital identity ambitions as well as privacy-related debates.

If approved, the ETF would allow investors to gain exposure to WLD through a regulated exchange-traded product instead of purchasing and storing the token themselves. Such products have become increasingly popular as institutional and retail investors seek easier access to digital assets through traditional brokerage accounts.

The proposed fund would also strengthen Grayscale’s position as one of the largest crypto asset managers in the market. The company already offers 17 crypto-related investment products covering assets such as Bitcoin, Ether, Solana, XRP, Dogecoin and Chainlink.

The filing reflects growing interest among asset managers in expanding beyond Bitcoin and Ethereum as regulators gradually become more comfortable with crypto investment products.

While the approval process could take several months, Grayscale’s latest application signals increasing confidence that a wider range of digital assets may eventually find their way into regulated investment vehicles.
