Nasdaq-listed Tron has applied for a share offering of up to $200 million to continue growing its TRX cryptocurrency holdings. The company has requested to utilize an at-the-market issuance (ATM) programme to sell its common shares for raising capital.
The offering will enable the firm to diversify the sources of funding for its expanding TRX treasury. As of now, Tron possesses approximately 718.9 million TRX tokens valued at around $50,000 worth of TRX every day for 360 consecutive days. The new $0.3347 per TRX token.
According to the filing with the US Securities and Exchange Commission, Tron has appointed Clear Street as the sales agent to offer the shares under the ATM programme. For its services, Clear Street will receive a 3% commission on the total amount raised from the issuance.
At the market offering enables a company to offer its shares in the market at times when it requires capital. In other words, the security issuance under ATM allows an organization to raise funds on an ongoing basis instead of issuing all the shares at once.

The company has been accumulating its TRX holdings since launching the buying programme in February this year. As per the details provided in the filing, Tron aims to purchase around $237 million. Its latest purchase included 149,369 TRX at an average price of $0 million TRX tokens. Thus, the $200 million share issuance could provide the company with an additional source of funding for its accumulation strategy.
In the filing, Tron has stated that it intends to use the proceeds from the latest issuance for continuing expanding its cryptocurrency holdings. The value of the company’s TRX treasury will depend on the price of TRX, which has the potential to be highly volatile.
The described dependence on the price of TRX will have to take a toll on the firm’s shareholders. More specifically, the issuance will result in dilution for the shareholders who do not purchase the newly issued shares.
Tron’s approach to expanding its TRX holdings is part of a broader trend of listed companies seeking to raise funds in financial markets to invest in cryptocurrencies. While the strategy offers exposure to digital assets, it comes with the risks of price volatility and dilution.
