Japan-listed Bitcoin treasury company Metaplanet is expanding into the U.S. with a major Bitcoin investment. The company plans to invest 2,100 BTC and $2.5 million in cash to acquire a controlling stake in Nasdaq-listed Super League Enterprise.

Metaplanet expects to own about 95.7% of the company, which will be renamed Superplanet and become a U.S.-based Bitcoin treasury platform. The new company is expected to trade under the proposed ticker SUPA, subject to the completion of the deal and other conditions.

The deal represents a major advancement in Metaplanet’s goal to become a corporate treasury with a Bitcoin concentration in both the Japanese and American capital markets. The corporation is presently one of the biggest publicly traded Bitcoin holders in the world, with over 43,000 BTC.

Under the proposed deal, Metaplanet will acquire Super League Enterprise shares at $3 each, along with preferred stock and warrants. The company’s stake in the new entity will be subject to a five-year lock-up period. Metaplanet will also have a strong say in the management of Superplanet, with plans to appoint five of its nine directors.

Super League Enterprise’s existing operating business will continue. Metaplanet will provide additional balance-sheet support and bring its experience in raising capital to build a Bitcoin treasury.

Metaplanet CEO Simon Gerovich described the strategy as creating “two engines” for Bitcoin accumulation. The Japanese company will continue to raise capital in Japan, while Superplanet will have access to U.S. capital markets. The strategy could also include the use of perpetual preferred shares to raise funds.

The broader aim is to increase the amount of Bitcoin held per share without relying heavily on issuing additional common stock. By combining the two companies’ Bitcoin strategies and access to different capital markets, Metaplanet hopes to create a larger and more flexible Bitcoin treasury operation.

The transaction is expected to close in the fourth quarter of 2026, provided customary conditions are met. These include approval from Super League Enterprise shareholders.

Investors reacted quickly to the announcement. Super League Enterprise’s stock jumped more than 85% to $5.66 on Tuesday. Metaplanet’s shares also ended the day about 5.1% higher at 228 Japanese yen.
