Alpha Modus Holdings, a Nasdaq-listed retail technology company, has boosted its holdings of Bitcoin (BTC) by 3,170 BTC without spending cash. The company purchased the cryptocurrency by issuing new shares and warrants to investors.
The deal was completed on September 30, 2026 and the company announced the increased value of its BTC holdings on October 21. Although the transaction increased Alpha Modus’s assets, but it might dilute the company’s shareholders’ ownership.

Alpha Modus provides retail technology solutions in the United States, the United Kingdom, and Singapore. The company utilizes artificial intelligence in its solutions to assist retailers to optimize their operations. The company’s Singapore subsidiary, AMOD Tech Pte. Ltd., is the recipient of 3,170 Bitcoins in the deal.
On August 26, 2026, Alpha Modus entered in an agreement with non-US investors. The company issued about 51.6 million Class A shares and warrants to purchase the same number of shares in exchange for the payment of the agreed amount of BTC. Upon announcement of the deal, the company valued the payment of Bitcoins at $71,000 per coin.
This placed the transaction value at around $225 million. On September 30, the value had increased to more than $250 million by October 20. At the closing reference price on September 30, the holdings were worth approximately $265.1 million.
The company’s transaction involves warrants that give investors the right to buy additional shares at a specific price. Thus, Alpha Modus set the exercise price at $4.36 per share. If all the warrants are exercised, the company could receive around $225 million in cash. However, the company announced on October 21 that no warrants had been exercised.
Although the deal increased Alpha Modus’s asset value, but it might negatively impact the ownership of the company’s shareholders. The company’s offering creates a dilution risk for investors who purchase the company’s shares. So far, the company has issued about 51.6 million new Class A shares. If all of the warrants converted to shares, the number of shares would increase by the same amount, thus reducing the ownership of existing shareholders.
Moreover, the company’s BTC deal allowed it to meet a Nasdaq listing requirement. In April 2026, Nasdaq informed Alpha Modus that its financial performance did not meet the exchange’s requirements.
Following the BTC deal, the company’s shareholders’ equity was more than $200 million. On October 1, Nasdaq staff confirmed that it met the minimum shareholders’ equity requirement of $2.5 million.
Nevertheless, meeting all listing requirements remains a challenge for the company. Alpha Modus CEO William Alessi stated that the BTC deal had boosted the company’s asset and provided a significant cash-generating opportunity.
The company’s management also continues to work towards growing its retail technology business. The company’s ARIA platform seeks to enhance the use of technology in physical retail stores and target over 20,000 retail locations.
Unlike other companies that raise funds and use them to buy Bitcoins, Alpha Modus increased its asset under a unique deal that involved issuance of shares and warrants.
Thus, the company has created substantial value for its shareholders through the purchase of a large amount of BTC without spending cash. Nevertheless, the future success of the company depends on the price of Bitcoins, the exercise of warrants, and the company’s ability to maintain its listing on Nasdaq.
