BitGo has acquired the institutional trading arm of NYDIG, a bitcoin-focused financial firm, for about $42.5 million in cash and stock. If specific revenue goals are reached, the agreement also calls for extra cash payments of up to $15 million. Through this purchase, BitGo expands its current wallet, custody, and settlement capabilities to include derivatives, structured products, finance, and capital-markets services. About 30 NYDIG employees and their client relationships will join BitGo. This move helps BitGo offer professional investors a wider range of crypto services in one place.

As part of the deal, BitGo will pay $7 million in cash and about $35.5 million in stock. There is also a possible $10 million cash payment if one revenue milestone is reached, and up to another $5 million in cash plus more shares if a second milestone is met. BitGo will also give retention awards to some NYDIG employees who are joining the company.

The trading business BitGo acquired works with asset managers, hedge funds, corporations, and family offices. It offers products like derivatives, structured products, financing, and other capital-markets solutions. For BitGo, this expands its services beyond just holding and settling digital assets.

According to BitGo CEO and co-founder Mike Belshe, institutions are searching for a reliable partner to handle every step of the digital asset transaction, including trading, financing, settlement, and custody. According to him, the acquisition would enable BitGo to expand its trading capabilities and hire a skilled staff.

This transaction is a component of a larger shift in the cryptocurrency market. The need for sophisticated financial products and regulated infrastructure has grown due to the rising involvement of institutional investors. Industry experts say crypto companies are responding by combining traditional financial services with digital-asset technology.

For NYDIG, selling the trading arm lets the company focus more on its Bitcoin mining, power generation, and high-performance computing businesses. NYDIG says its high-performance computing data center projects now total over 3 gigawatts.

This acquisition happens during a busy year for BitGo. BitGo became the first cryptocurrency business to go public in 2026, earning over $212.8 million at $18 per share during its initial public offering (IPO) and attaining a value of more than $2 billion. Since then, the weakened state of the cryptocurrency market has caused its share price to decline. As it moves toward AI, BitGo has also cut its headcount by around 15% while continuing to grow outside of custody, such as with its USDS stablecoin.

Overall, the NYDIG deal highlights how crypto infrastructure companies are changing as more institutions get involved. Instead of just offering custody, BitGo aims to become a broader financial services platform for professional digital-asset investors.
