Injective Institutional Services, an affiliated arm of the Injective blockchain network, has secured registration with the US Securities and Exchange Commission (SEC) as a transfer agent. The move gives Injective a regulated role in maintaining securities ownership records and processing transfers. It also adds a formal securities-market function to Injective’s tokenization infrastructure as institutions explore blockchain-based real-world assets.

A transfer agent is responsible for maintaining the official record of who owns a security and processing changes in ownership. The role also covers administrative tasks linked to transfers, distributions and shareholder rights. For tokenized securities, this is particularly important because putting an asset on a blockchain does not automatically make the blockchain record the legally recognised ownership record.

Under SEC guidance, registered transfer agents can use distributed ledger technology as an official master securityholder file, or as part of that record, provided they comply with federal securities laws. This creates a possible structure in which blockchain-based ownership records can work alongside digital settlement rather than relying entirely on separate off-chain databases.

Injective had first announced its transfer-agent filing in July. With the registration now effective, Injective Institutional Services can operate within the federal transfer-agent framework. However, the registration does not mean that every asset issued through Injective automatically becomes a regulated security. Each product will still have to meet the relevant legal and regulatory requirements.

The latest development follows Injective’s involvement in several tokenization projects. One recent example was a trade-finance pilot involving POSCO International and LG CNS. The proof of concept tested blockchain and artificial intelligence technology in a real-world global trade environment.

Injective was used to test the tokenization of trade receivables generated from actual transactions. The project examined whether receivables could be issued, transferred, settled, traded and managed as digital assets while incorporating controls such as KYC, AML procedures, investor eligibility checks and transfer restrictions.

POSCO International plans to develop pilot operations later this year in areas where the project showed improvements in operational efficiency.

The transfer-agent function is separate from Injective Mint, the network’s tokenization platform. Injective Mint allows issuers to create and manage tokenized assets while setting controls around holders, jurisdictions, minting, redemption and transfers. The newly registered transfer-agent business instead focuses on the ownership-record and securities-administration side.

Together, the two functions could help institutions manage more of the tokenized asset lifecycle through blockchain-based infrastructure. Still, issuers will continue to face requirements relating to securities laws, investor protection and other applicable regulations.

Injective’s move comes as financial institutions explore tokenized funds, credit products, equities and other securities. The challenge for the sector is increasingly moving beyond simply putting assets on a blockchain. Institutions also need compliant systems for ownership records, settlement and transfers. For Injective, the SEC registration marks an important step towards providing that infrastructure within the US securities framework.
